Employee, Executive Officer, Director and Consultant Exemption

Employee, Executive Officer, Director and Consultant Exemption means the exemption from the prospectus requirement available in all jurisdictions of Canada pursuant to securities legislation and, without limiting the foregoing, for reference, may include a distribution by an issuer to an employee, an executive officer, a director and a consultant of the Issuer and a permitted assign of any of the foregoing persons.
